I. Generalities
1. Conforming to Article 60 and provisions thereinafter of the Swiss Civil Code, is created, for an unlimited duration, a student association for students of the Institute.
2. The seat and office of the Association is Geneva.
3. The association is apolitical and is non-discriminatory.
4. It assures representation for members of the association.
5. The official languages of the Association are French and English. In case of conflict, the French text prevails.
II. Goals/Purpose
The goals and purposes of the Association are:
1. To represent students in front of the various bodies in and out of the Institute.
2. To promote friendly relations between the students and the Institute.
3. To promote intellectual debate.
4. To promote cultural and athletic activities.
5. To support the activities organized by the different autonomous student associations.
6. To manage the facilities of the association, or collectively entrusted by the Institute to the students.
7. To communicate frequently and in a transparent manner with its members.
III. The Organs
The organs of the Association are:
1. The General Assembly
2. The Committee
IV. Members
1. All students registered at the Institute are members of the Association.
2. All members have the right to take part in the General Assembly with a deliberative voice.
3. The members of the Association are not responsible for social debts.
V. Resources
1. The assets
2. Any additional allocations, grants or subsidies from the Institute
3. Voluntary funds collected by the Association in order to subsidize a specific event.
4. Donations and bequests
VI. The General Assembly
1. The General Assembly is composed of all Members.
2. It meets in regular sessions at least once per semester, upon the summons of the Committee.
3. The General Assembly can be summoned for extraordinary sessions at any time, at the request of the Committee or one fifth (1/5) of Members.
4. The Members must be reasonably notified at least seven days prior to the date of the meeting.
5. The agenda of the meeting must be included in the summons.
6. The General Assembly has a quorum when at least 1% of the Members of the Association are present.
7. Decisions of the General Assembly are made through a simple majority.
8. The General Assembly has the competence to accomplish all the tasks which are attributed to it in these statutes. It elects the Committee while being careful to assure the representation of all members of the association.
9. For all the functions which are not specified by these statutes, the General Assembly has the competence that is attributed to it in Article 65 of the Swiss Civil Code.
VII. The Committee
1. The Committee is composed of a President, a Vice-President of Academic Affairs, a Vice-President of Socio-Cultural Affairs, a Communications Director and a Treasurer.
2. The President and the Treasurer are elected by the General Assembly convened to that end in the month of June of each year, for a period of one year.
3. The other members of the Committee are elected by the General Assembly, convened to that end in the month of September of each year, for a period of one year.
4. Swiss nationality must be represented on the Committee, in accordance with the Swiss Civil Code.
5. Members of the Committee are immediately eligible for re-election at the end of their term.
6. The tasks of the Committee are as follows:
a. To ensure the achievement of the goals mentioned in article II of these statutes.
b. To convene the General Assembly and establish the agenda.
c. To execute the decisions made by the General Assembly.
d. To oversee the transition between the old and new Committees.
e. To communicate with its members and to assure transparency of its activities.
f. To assure the good management of the resources mentioned in article V of these statutes.
7. The President convenes the Committee and directs the meetings/sessions of the General Assembly and of the Committee. The President assures the link between the Administration and the students. The Vice-President of Academic Affairs stands in for the President in case of the President’s absence.
8. The President and the Vice-Presidents represent the Association in its judicial and extra-judicial relations.
9. The signatures of at least two members of the Committee are necessary to engage the corporate body of the Association, namely the President and one other member of the Committee.
10. All financial commitments required the double signature of the President and the Treasurer.
VIII. Relations between the Association and the Institute
1. A meeting is to take place at least twice per year between the Committee or a delegation of the Committee and the administration of the Institute.
2. A special agreement regulates the relations between the Association and the Institute, notably for the annual allowance, finances, and the allocation of space.
IX. Revision of the Statutes and Dissolution
1. The terms of revision of the statutes:
a. The Committee or one fifth (1/5) of the Members of the General Assembly have the capacity to propose a total or partial revision of the statutes.
b. Any decisions with the object of total or partial revision of the statutes should be brought to the attention of the Members at least fifteen days before a session of the General Assembly.
c. Any decisions with the object of total or partial revision of the statutes must be approved by the Members that are present and voting during the session of the General Assembly by a two thirds majority (2/3).
2. The suspension of the activities of the Association must be voted by the General Assembly through a two thirds (2/3) majority of the present and voting Members.
3. The dissolution of the Association:
a. In case of the dissolution of the Association, the liquidation is executed by the Committee.
b. If after payment of social debts assets remain, these are turned over to the Institute.
4. For all cases unforeseen by the statutes, Articles 60 and onward of the Swiss Civil Code apply. The Committee is competent to take all necessary measures.
5. The present Statues have been adopted by a majority of the Members of the General Assembly 30 May 2008 and cone into force on this date.
